Terms of Service

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use by contractors, tradespeople, and service businesses. It is not intended for personal, family, or household use.

When you create an account, you agree to provide accurate information and to keep it current. You are responsible for safeguarding your login credentials and for all activity that happens under your account. Notify us promptly if you believe your account has been used without your authorization.

Ledgendry helps trade and service businesses create estimates, manage jobs, send invoices, and collect payments. We may add, change, or remove features over time. We may also set reasonable usage or technical limits to keep the Service stable and secure.

Paid plans begin after any free trial. Billing is handled through Stripe; by subscribing you authorize us, through Stripe, to charge the payment method on file for the recurring fees of your selected plan until you cancel.

You can cancel at any time from your account. When you cancel, your subscription stays active through the end of the period you have already paid for, and it does not renew after that. We do not provide prorated or partial refunds for unused time, except where required by law. Fees are exclusive of taxes, which you are responsible for where applicable.

Payment processing and payouts are provided by Stripe and are subject to Stripe's own terms and privacy policy. Stripe holds and processes card and bank details. Ledgendry does not store full card numbers. Your use of payment features may require you to accept Stripe's Connected Account Agreement.

You agree not to:

• use the Service for any unlawful, fraudulent, or harmful purpose;
• upload content you do not have the right to use, or that infringes another person's rights;
• attempt to access accounts, data, or systems that are not yours;
• reverse engineer, scrape, overload, disrupt, or attempt to circumvent the security of the Service;
• resell, sublicense, or commercially exploit the Service except as expressly permitted; or
• use the Service to send unlawful, deceptive, or unsolicited communications.

You are responsible for ensuring your own use of the Service, including the messages and invoices you send to your clients, complies with the laws that apply to your business.

You own the data and content you put into the Service: your company information, clients, jobs, estimates, and invoices ("Your Data"). You grant us a limited license to host, process, and transmit Your Data solely to operate and provide the Service to you.

Where Your Data includes personal information about your own clients, you act as the controller of that information and Ledgendry acts as a processor handling it on your behalf and on your instructions. You are responsible for having the necessary rights and notices to put that information into the Service. Our handling of personal information is described in our Privacy Policy.

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that it will meet your specific requirements. Ledgendry is a tool to help you run your business and is not a substitute for professional legal, tax, or accounting advice.

To the maximum extent permitted by law, Ledgendry will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service.

To the maximum extent permitted by law, Ledgendry's total liability for all claims relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless Ledgendry from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Data, or your violation of these Terms or applicable law.

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if necessary to protect the Service or other users. After termination, we may delete Your Data in accordance with our Privacy Policy, subject to records we are legally required to retain. We recommend exporting anything you need before cancelling.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the State of Iowa, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Iowa for any dispute that is not otherwise resolved.
